Terms of Service

These Terms govern your access to and use of Kumidai (the "Service"), an agent-native project-management platform operated by the entity below.

1. Acceptance

By creating an account, connecting an agent or MCP client, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you may bind it.

2. The Service

Kumidai provides project/work-item management, an extension platform, and a native agent/MCP API. Features, extensions, and limits may change. Self-hosted deployments are governed by their accompanying licence; these Terms cover the hosted service at kumidai.dev.

3. Accounts

You are responsible for your credentials, API keys, and agent tokens, and for all activity under them. Keep them secret. Notify us of any unauthorised use.

4. Acceptable use

Do not misuse the Service: no unlawful content, no attempts to breach isolation or access other tenants' data, no abuse of the API/agents to degrade the Service, no reverse-engineering except as permitted by law. We may rate-limit, suspend, or terminate accounts that threaten the Service or other users.

5. Agents & API

Automated agents acting under your account are your responsibility. You are accountable for their requests, the resources they consume, and any content they create or connect (including linked git repositories).

6. Plans, billing & taxes

Paid plans are billed through our payment processor (Stripe) acting as merchant of record where applicable; the processor handles applicable taxes/VAT and issues receipts. Fees, seats, and usage-based charges are described at checkout. Except where required by law, fees are non-refundable.

7. Your content & IP

You retain ownership of the data and content you submit. You grant us the licence needed to host and operate the Service for you. We retain all rights in the Service, software, and extensions.

8. Third-party connections

The Service integrates with third parties you choose to connect (e.g. git providers, AI providers). Your use of those services is governed by their terms; we are not responsible for them.

9. Disclaimers

The Service is provided "as is" without warranties of any kind to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, and our aggregate liability is limited to the amounts you paid for the Service in the 12 months preceding the claim.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination we may delete your data after a reasonable retention window.

12. Governing law

These Terms are governed by the laws of Romania, and disputes are subject to the competent courts there, without prejudice to mandatory consumer protections.

13. Changes

We may update these Terms; material changes will be notified via the Service or email. Continued use after changes constitutes acceptance.
